Virginia Port Authority (VPA) Board of Commissioners
Section 62.1-129 of the Code of Virginia provides in relevant part:
The Board shall consist of the State Treasurer and eleven members appointed by the Governor, subject to confirmation by the General Assembly, who shall serve at the pleasure of the Governor. The terms of members of the Board of Commissioners appointed or reappointed by the Governor on or after January 1, 1981, shall be for five years. Any appointment to fill a vacancy shall be for the unexpired term….No member appointed by the Governor shall be eligible to serve more than two successive terms. A person heretofore or hereafter appointed to fill a vacancy may be appointed to serve two additional terms.

Michael J. Quillen, Chairman of the VPA Board, has been a member of the VPA Board since his appointment by Governor Warner in September 2003. He was reappointed by Governor Kaine in July 2007 and is eligible for reappointment to a second five-year term when his first full term ends June 30, 2012. Mr. Quillen is Chairman of Alpha Natural Resources, LLC, in Abingdon, Virginia – the third largest producer of coal in the US and the largest exporter of coal from the US. He was appointed Chairman of the VPA Board on July 26, 2011, and in that capacity, serves as an ex-officio member of all committees of the Board, including the Board’s Compensation Committee and Investment and Administrative Committee. |

James M. Boyd, Vice Chair, was appointed by Governor McDonnell on July 15, 2011, for a term of five years, beginning July 1, 2011, and ending June 30, 2016. Mr. Boyd is President of the law firm of Boyd & Boyd, P.C., located in Norfolk. Practice areas include estate planning, estate administration, business law, corporate law, and personal injury. Mr. Boyd was appointed Vice Chairman of the Board on September 27, 2011, and in that capacity serves on the Executive Committee. The Vice Chair, along with the Chairman, is an ex officio member of all Standing Committees. Mr. Boyd is a member of the Board’s Compensation Committee. On November 22, 2011, the VPA Board Chairman appointed Mr. Boyd to serve a six-year term on the Board of Directors for Virginia International Terminals, Inc. (VIT), the VPA’s operating company. |

Jennifer D. Aument, was appointed by Governor McDonnell on July 15, 2011, for an unexpired term beginning July 22, 2011, and ending June 30, 2012. Ms. Aument is the Vice President of Corporate Relations, North America for Transurban, a leading international infrastructure investor and toll-road operator. She oversees all government relations, policy, communications, sustainability, and marketing activities for the company’s North American business. Ms. Aument serves as Chair of the Marketing/Business Development Committee of the VPA Board, and also serves on the Executive and Facilities Committees. |

Scott R. Bergeron, was appointed by Governor McDonnell on July 19, 2011, for an unexpired term, beginning July 22, 2011, and ending June 30, 2012. Mr. Bergeron is the Chief Executive Officer of the Liberian International Ship and Corporate Registry (LISCR), the world’s largest white-listed ship registry and a leading corporate jurisdiction. Mr. Bergeron serves as Chair of the VPA Board’s Finance/Planning Committee, Vice Chair of the Marketing/Business Development Committee, and is a member of the Executive Committee. He also serves on the Board’s Compensation Committee and Investment and Administrative Committee. |

Juliann Jordan Clemente, was appointed to the VPA Board by Governor McDonnell July 15, 2011, for an unexpired term, beginning July 22, 2011, and ending June 30, 2014. Ms. Clemente is President of Clemente Development Company, Inc., based in Vienna, and she has primarily been involved with real estate planning, use, financing, management, leasing and sale, and solid waste management, transportation and logistics. Ms. Clemente is Vice Chair of the VPA Board’s Finance/Planning Committee and she also serves on the Board’s Marketing/Business Development Committee. On November 22, 2011, the VPA Board Chairman appointed Ms. Clemente to serve a six-year term on the Board of Directors for Virginia International Terminals, Inc. (VIT), the VPA’s operating company. |

William H. Fralin, Jr., was appointed to the VPA Board by Governor McDonnell on July 15, 2011, for a term of five years, beginning July 1, 2011, and ending June 30, 2016. Mr. Fralin is the President and CEO of Medical Facilities of America, in Roanoke. In addition to his previous business affiliations, Mr. Fralin served as a member of the Virginia House of Delegates from 2004-2010, representing the 17th District of Virginia. Mr. Fralin is the Chair of the VPA Board’s Facilities Committee and also serves as a member of the Executive Committee and Security/Safety Committee. |

Manju S. Ganeriwala was appointed Virginia State Treasurer by Governor Kaine in January 2009 and reappointed in July 2010 by Governor McDonnell. As Treasurer, she oversees the investment of over $9 billion in public funds; management of over $15 billion in debt; issuance of bonds; provision of banking services; and administration of the state’s insurance and unclaimed property programs. She also serves as the Chairwoman of the Treasury Board, and is a member of ten other state boards including, the Virginia College Savings Plan, Virginia Housing Development Authority, Virginia Port Authority, and the Virginia Resources Authority. Ms. Ganeriwala is on the VPA Board’s Finance/Planning Committee and Security/Safety Committee. |

Frank E. Laughon, Jr., was appointed to the VPA Board by Governor McDonnell on July 19, 2011 for an unexpired term, beginning July 22, 2011, and ending June 30, 2014. Mr. Laughon was the CEO and President of Richmond Cold Storage Company until he sold the company in May 2009. He is now the Chairman Emeritus. RCS is an international company, headquartered in Richmond, which consists of over 63 million cubic feet of refrigerated space in the Southeastern United States. Mr. Laughon is Vice Chair of the VPA Board’s Security/Safety Committee and also serves as a member of the Board’s Facilities Committee. |

John N. Pullen, was appointed on July 15, 2011, by Governor McDonnell, to serve an unexpired term on the VPA Board beginning July 22, 2011 and ending June 30, 2014. Mr. Pullen is President and Chief Growth Officer of Luck Companies, in Richmond, and is a key member of the Corporation’s Strategic Leadership Team, responsible for balancing the portfolio of the company to deliver financial results, growing the company’s geographic footprint and identifying global trends that have relevancy to the future of the business. Mr. Pullen serves on the VPA Board’s Facilities Committee as Vice Chair, and is also a member of the Finance/Planning Committee. |

Robert M. Stanton, was appointed to the VPA Board by Governor McDonnell on July 15, 2011, for a term of five years, beginning July 1, 2011, and ending June 30, 2016. Mr. Stanton, who began his real estate career in 1966 with (the former) Goodman Segar Hogan, Inc., is Chairman of Stanton Partners, Inc., a company specializing in commercial real estate investments. Mr. Stanton serves on the VPA Board’s Facilities Committee and Security/Safety Committee. |

Jeffrey D. Wassmer, was appointed to the VPA Board by Governor McDonnell on July 15, 2011, for an unexpired term beginning July 22, 2011 and ending June 30, 2012. Mr. Wassmer is President and CEO of Spectrum Communications, Inc., a company he founded in 1999. He has over 20 years of experience in network security and program management of Department of Defense command, control, communications, intelligence, surveillance and reconnaissance programs. Mr. Wassmer is Chair of the VPA Board’s Security/Safety Committee and also serves on the Executive Committee and Marketing/Business Development Committee. |

Ting Xu, was appointed to the VPA Board by Governor McDonnell on July 20, 2011, for a term of five years, beginning July 1, 2011 and ending June 30, 2016. Ms. Xu is President (creator) of Evergreen Enterprises, Inc., responsible for the company’s short-term and long-term futures including strategic planning, annual budgeting, mergers and acquisitions, banking relationships, big-picture product direction and international sourcing. She is also CEO of Plow & Hearth, which was acquired by Evergreen Enterprises in 2010. Ms. Xu serves on the VPA Board’s Finance/Planning Committee and Marketing/Business Development Committee. |
